These Terms & Conditions (“Terms”) govern your access to and use of ramaneclipsesolutionsllc.com (the “Site”) operated by Demeris Systems LLC (“Company,” “we,” “us,” or “our”). By accessing the Site or placing an order, you agree to be bound by these Terms. If you do not agree, do not use the Site.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into binding contracts. By placing an order you represent that the information you provide is truthful, accurate, and complete.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at support@demeris.us of any unauthorized use.

4. Products, Pricing, and Availability

All product descriptions, specifications, and pricing are provided in good faith and may change without notice. Colors and images are for illustration only and may vary slightly from the actual product. In the event of a pricing error, we reserve the right to cancel orders placed at the incorrect price and to issue a full refund.

5. Orders and Payment

All orders are offers to purchase and are subject to our acceptance. We may refuse or cancel any order at our sole discretion, including for suspected fraud, payment-verification failure, resale activity, pricing errors, or stock-out. We accept payment in U.S. dollars through PCI-DSS compliant processors. You authorize us (and our processors) to charge the payment method for the total amount of your order, including shipping, handling, and applicable taxes.

6. Taxes

You are responsible for any applicable sales, use, VAT, customs, or import duties. Where we are required to collect sales tax, it will be calculated and shown at checkout.

7. Shipping and Delivery

Estimated shipping times are provided at checkout and are not guaranteed. Title and risk of loss transfer to you upon delivery to the carrier. We are not responsible for delays caused by the carrier, customs, weather, or force majeure events.

9. Chargebacks and Disputes

If you believe a charge is in error, please contact us at support@demeris.us before initiating a chargeback so we can resolve the matter directly. Fraudulent chargebacks or chargebacks made in bad faith may be referred to collection agencies or law-enforcement authorities.

10. Acceptable Use

You agree not to: (a) use the Site for any unlawful purpose; (b) violate any applicable U.S. or international law or regulation; (c) attempt to gain unauthorized access to the Site, accounts, or systems; (d) interfere with the security or integrity of the Site; (e) submit false or misleading information; (f) use the Site to transmit malware, phishing content, or spam; or (g) resell or redistribute products without our prior written consent.

11. Intellectual Property

EXCEPT AS EXPRESSLY PROVIDED, THE SITE AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEMERIS SYSTEMS LLC, ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS. OUR AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE PRODUCTS GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless Demeris Systems LLC and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your misuse of the Site, or your violation of any third-party rights.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Subject to Section 17, the exclusive jurisdiction and venue for any action not subject to arbitration shall be the state or federal courts located in Laramie County, Wyoming.

17. Dispute Resolution — Binding Arbitration

Except for claims that may be brought in small-claims court or claims for injunctive relief to protect intellectual property, any dispute arising out of or relating to these Terms or your use of the Site shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You and Demeris Systems LLC waive any right to a trial by jury and to participate in a class action or representative proceeding. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing support@demeris.us with the subject “Arbitration Opt-Out.”

18. Termination

We may suspend or terminate your access to the Site at any time, with or without cause, for violations of these Terms or applicable law. Sections that by their nature should survive termination (including 11, 13–17) will survive.

19. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, pandemics, government orders, labor disputes, carrier failures, or internet outages.

20. Changes to These Terms

We may revise these Terms at any time by posting an updated version on this page with a new Effective Date. Continued use of the Site after the update constitutes acceptance.

21. Severability and Entire Agreement

If any provision is held unenforceable, the remaining provisions will remain in full force. These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Demeris Systems LLC regarding the Site.
